1. Service Description
Spawni (“the Service”) is a hosted artificial intelligence agent platform that enables you to create, configure, and interact with personal AI agents. The Service includes, but is not limited to:
- AI agent creation, customisation, and management via a web-based dashboard
- Real-time conversational AI powered by third-party large language models (currently Anthropic Claude)
- Multi-channel messaging integration, including Telegram, WhatsApp, and agent email
- Persistent agent memory, file storage, and isolated container environments
- Token-based usage metering and subscription management
We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes where practicable.
EU AI Act Transparency Disclosure: Spawni deploys AI systems classified under the EU Artificial Intelligence Act. Our AI agents are general-purpose AI systems used for conversational assistance and task automation. Users are informed that they are interacting with an AI system, not a human. AI-generated content is clearly attributed. We maintain technical documentation regarding the AI models used, their capabilities, and their limitations. Users in the EU have additional rights under the EU AI Act, including the right to meaningful explanations of AI-assisted decisions.
2. Account Terms
To use Spawni, you must:
- Be at least 18 years of age. By creating an account, you represent and warrant that you are 18 or older. We do not knowingly provide services to minors.
- Maintain only one account per person. Creating multiple accounts to circumvent usage limits, bans, or for any other purpose is strictly prohibited.
- Provide accurate, current, and complete registration information and keep it up to date.
- Maintain the security of your password and accept responsibility for all activity that occurs under your account. You must notify us immediately at legal@spawni.ai if you suspect unauthorised access to your account.
We reserve the right to suspend or terminate any account that violates these terms or that we reasonably believe has been compromised.
3. Subscriptions & Billing
Spawni offers subscription-based access to the Service. Current pricing and plan details are available on our Pricing page.
- Payment Processing: All payments are processed securely through Stripe. We do not store your credit card details on our servers. Stripe’s processing of your payment information is governed by the Stripe Privacy Policy.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You will be charged the applicable subscription fee at each renewal.
- Plan Changes: You may upgrade or downgrade your subscription plan at any time through the billing portal. Upgrades (moving to a higher-tier plan) take effect immediately, with prorated charges and credits applied for the remainder of your current billing period. Downgrades (moving to a lower-tier plan or switching from annual to monthly billing) take effect at the end of your current billing period — you retain access to your current plan until then.
- Annual Billing: Annual subscriptions are available at a 20% discount compared to monthly billing. You may switch between monthly and annual billing through the billing portal. Switching to annual billing takes effect immediately with proration. Switching from annual to monthly takes effect at the end of your current annual period.
- Extra Agents: Your base subscription includes one AI agent. Additional agents are billed at a per-agent monthly fee based on your current plan tier. If you change plan tiers, extra agent pricing adjusts automatically to match your new tier.
- Token Usage: Each subscription tier includes a monthly token allocation. Usage beyond your allocation may result in overage charges as described on the Pricing page. Usage caps are enforced to prevent unexpected charges.
All prices are listed in US dollars (USD) unless otherwise stated. You are responsible for any applicable taxes, duties, or government-imposed fees.
4. 30-Day Money-Back Guarantee
We offer a 30-day money-back guarantee on your base subscription fee. If you are not satisfied with the Service for any reason, you may request a refund within 30 days of your first subscription payment.
What is refundable:
- Your base subscription fee ($29/mo or $190/mo) is fully refundable within 30 days of your first payment.
- Pre-order deposits ($10) are refundable at any time before launch (see Section 5).
What is not refundable:
- Extra agent fees ($15 or $50 per additional agent) are not refundable. These fees cover real infrastructure costs (compute, storage, and networking) incurred on your behalf the moment your agent is provisioned.
- Token overage charges are not refundable. These charges cover AI compute costs that have already been consumed on your behalf.
Fair Use:
This guarantee is subject to fair use. If your usage exceeds 5 times (5x) the included token budget for your plan during the guarantee period, the money-back guarantee is void. This protects against abuse while ensuring genuine users can try the Service risk-free.

After the initial 30-day period, you may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds will be issued for the remaining portion of the billing period after cancellation.
Important: This guarantee does not limit your rights under applicable consumer protection laws, including the Australian Consumer Law. If you are an Australian consumer, you may have additional rights and remedies under the Competition and Consumer Act 2010 (Cth) that cannot be excluded, restricted, or modified by these Terms.
5. Pre-Order Deposits
During pre-launch periods, we may offer the ability to place a pre-order deposit of $10.00 (USD) to reserve early access to the Service.
- Pre-order deposits are fully refundable at any time prior to the activation of your subscription.
- Upon launch, your deposit will be deducted from your first monthly subscription payment.
- If you choose not to subscribe at launch, your deposit will be refunded in full.
6. Acceptable Use
You agree to use the Service responsibly and lawfully. The following activities are strictly prohibited when using Spawni, including through any AI agent you create or control:
6.1 Illegal & Harmful Activities
- Engaging in or facilitating any illegal activities, including but not limited to fraud, money laundering, and the distribution of illegal content
- Sending spam, unsolicited bulk messages, or automated marketing communications
- Harassment, threats, defamation, hate speech, or any form of abuse directed at individuals or groups
- Impersonation of any person, organisation, or entity, including Spawni staff
6.2 AI Safety & Integrity
- Prompt injection or jailbreaking attempts designed to circumvent the AI model’s safety guidelines, system instructions, or content filters
- Using agents to make automated decisions that materially affect individuals (such as employment, credit, insurance, or legal determinations) without appropriate human review and oversight
- Processing children’s data through the Service. The platform is restricted to users aged 18 and older, and agents must not be used to collect, store, or process personal data of minors
6.3 Professional Advice Restrictions
- Presenting AI agent output as professional medical, legal, or financial advice. AI agents are not licensed professionals and their output does not constitute professional counsel. Users must not represent AI-generated content as advice from a qualified practitioner.
6.4 Platform Integrity
- Developing competing AI services using access to the Spawni platform or its underlying technologies
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or architecture of the Service
- Cryptocurrency mining, resource abuse, or running computationally excessive workloads within agent containers for purposes unrelated to the intended use of the Service
- Attempting to access other users’ data, containers, or accounts
- Circumventing rate limits, usage caps, or other technical safeguards
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, with or without notice. We reserve the right to report illegal activities to the appropriate authorities.
7. Intellectual Property
7.1 Your Content & Output
You own your output. All content generated by your AI agents in response to your instructions (“User Output”) belongs to you, subject to any applicable third-party model provider terms. We do not claim ownership of any content you create, upload, or generate through the Service.
7.2 Platform Ownership
Spawni and its licensors retain all rights, title, and interest in and to the Service, including all software, infrastructure, designs, trademarks, documentation, and proprietary technology. Nothing in these Terms grants you any right to use the Spawni name, logo, or branding without our prior written consent.
7.3 Limited Licence
By using the Service, you grant Spawni a limited, non-exclusive, worldwide, royalty-free licence to process, store, and transmit your content solely for the purpose of providing and operating the Service. This licence includes the right to:
- Send your messages to AI model providers for processing
- Store your data in our database and file storage systems
- Deliver messages through your connected channels (Telegram, WhatsApp, email)
This licence terminates when you delete your account and all associated data has been purged in accordance with our data retention policy.
8. AI Disclaimer
Spawni uses third-party large language models to power AI agent responses. You acknowledge and agree that:
- AI-generated output may be inaccurate, incomplete, or misleading. Large language models can produce plausible-sounding but factually incorrect information (“hallucinations”).
- AI output does not constitute professional advice of any kind, including but not limited to medical, legal, financial, or tax advice.
- You are solely responsible for reviewing, verifying, and validating all AI-generated content before relying on it or sharing it with others.
- We do not guarantee the accuracy, reliability, completeness, or suitability of any AI-generated content for any particular purpose.
- AI model behaviour may change over time as underlying models are updated by their providers.
9. Data & Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the data practices described in our Privacy Policy.
Key commitments:
- We do not sell your data to third parties
- We do not use your data to train AI models
- We comply with the General Data Protection Regulation (GDPR), the Australian Privacy Act 1988 and the Australian Privacy Principles (APPs), and the California Consumer Privacy Act (CCPA)
- Data is encrypted in transit (TLS) and at rest
- You have the right to access, export, correct, and delete your data at any time
10. Container Usage
Each AI agent operates within a dedicated, isolated container environment. You acknowledge and agree to the following conditions regarding container usage:
- Isolation: Your agent’s container is fully isolated from other users’ containers and the host system. You may not attempt to escape container boundaries or access resources outside your allocated environment.
- Command Restrictions: Certain system commands are blocked within containers for security purposes. This includes destructive filesystem operations, internal network access commands, and privileged system calls. A complete list of restricted commands is enforced at the infrastructure level.
- Resource Limits: Containers are subject to CPU, memory, and storage limits. Workloads that exceed these limits may be throttled or terminated. Resource allocations vary by subscription tier.
- Ephemeral Nature: While we make reasonable efforts to maintain container state, containers may be restarted, migrated, or recreated as part of normal platform operations. Persistent data should be stored through the designated file storage mechanisms provided by the Service.
11. Termination
11.1 Termination by You
You may cancel your subscription and delete your account at any time through the dashboard or by contacting us at legal@spawni.ai. Upon cancellation:
- Your subscription will remain active until the end of the current billing period
- After your subscription expires, your account data (including agents, conversations, files, and memories) will be retained for 30 days before permanent deletion
- You may export your data during this 30-day retention period
11.2 Termination by Us
We may suspend or terminate your account immediately and without prior notice if:
- You violate these Terms, including the Acceptable Use provisions
- We are required to do so by law or legal process
- Your account poses a security risk to the Service or other users
- We reasonably believe your account has been compromised
Where practicable and permitted by law, we will provide notice and an opportunity to remedy any non-material breach before termination.
11.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Sections relating to intellectual property, limitation of liability, governing law, and any other provisions that by their nature should survive termination will remain in effect.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Spawni shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.
- Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to Spawni in the twelve (12) months immediately preceding the event giving rise to the claim.
- We shall not be liable for any loss or damage arising from AI model output, including inaccurate, incomplete, or misleading information generated by AI agents.
Australian Consumer Law Notice: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement. If the Australian Consumer Law applies to you, our liability for a failure to comply with a consumer guarantee is limited, at our option, to the resupply of the services or the payment of the cost of having the services resupplied.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia, and you irrevocably submit to the jurisdiction of those courts. However, nothing in this clause limits your right to bring proceedings in any court of competent jurisdiction if required by applicable consumer protection laws.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.
- Material Changes: We will provide at least 30 days’ prior notice of any material changes via email to the address associated with your account and/or a prominent notice within the Service.
- Non-Material Changes: Minor updates (e.g., formatting, clarifications that do not alter your rights or obligations) may be made without prior notice.
- Continued Use: Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and may cancel your account.
The “Last Updated” date at the top of this page indicates when these Terms were most recently revised.
